Like any organisation, Valentines Park Conservationists or, to use our proper legal name, Valentines Park Conservationists Association, has a constitution setting out what we do and how we are allowed to organise and control our activities - a copy is provided here for those interested in such things.
Valentines Park Conservationists Association
- NAME
The Association shall be known as "Valentines Park Conservationists".
- OBJECTS
- To bring together those sharing a common interest in Valentines Park. These interests may include the horticultural , arboricultural, ecological, educational and social development of the Park.
- To enhance the Park's historic landscape as an attractive and healthy environment for people and wild life, its achievement being attained by giving voluntary practical assistance to the Park authorities.
- To promote the Park as a resource for the multicultural community of Redbridge.
- MEMBERSHIP
There shall be one category of membership i.e. ordinary member (which expression shall include concessionary membership).
- SUBSCRIPTIONS
- The annual subscription of the Association shall be such sum as the Committee of the Association shall from time to time determine.
- Subscriptions are due on 1st January each year.
- RESIGNATION
Any member may determine membership at any time by notice in writing to the Honorary Secretary.
- DISCONTINUATION OF MEMBERSHIP
The Committee may, on resolution passed by three quarters of the voting members thereof present at any meeting, discontinue the membership of any member of the Association whose subscription shall be six months in arrears or for any other good and sufficient reason at the absolute discretion of the Committee, provided that the member shall have the right to be heard by the Committee before a decision is made.
- MANAGEMENT
- The management of the Association shall be vested in a Committee consisting of : Chairman, Honorary Secretary, Honorary Treasurer and not more than six other elected members.
- One more than half of the total membership of the Committee shall constitute a quorum. Each member of the Committee shall have one vote and, in the event of a tied vote, the Chairman shall have a second or casting vote.
- Other Officers may be appointed by the Committee and may attend Committee meetings at the invitation of the Chairman but unless they are elected members of the Committee they shall have no power to vote.
- GENERAL MEETINGS
- An Annual General Meeting of members shall be convened by the Honorary Secretary within four months of the end of the financial year for the purpose of : receiving the annual report and independently examined balance sheet; the election of Officers, Committee members and independent examiner for the ensuing year and to consider such other business as my be necessary. Fourteen days notice of the AGM and the business to be discussed shall be sent to all members.
- An Extra-Ordinary General Meeting may be convened by the Honorary Secretary at any time by resolution of the Committee or on the requisition of at least 15 members of the Association. A meeting required by such requisition shall be held within 28 days of the receipt of such requisition by the Honorary Secretary who shall give all members 21 days notice in writing of the meeting and stating the business to be considered, this being the sole business to be discussed.
- The quorum at General Meetings shall be twice the number of the members of the Committee, being fully paid up voting members. In the event of a quorum not being present the meeting shall be adjourned to such place, date and time within the ensuing 21 days as the Chairman shall decide, and the members present at such adjourned meeting shall constitute a quorum. At least 7 days notice of such adjourned meeting shall be given to all members.
- At General Meetings every member, including the Chairman shall have one vote. In the event of an equality of votes the Chairman shall have a second or casting vote.
- ELECTION OF OFFICERS AND COMMITTEE
- The Association shall at Annual General Meetings elect a Chairman, Honorary Secretary, Honorary Treasurer and not more than six Committee Members who shall take office at the end of the meeting at which they are elected and will hold office until the end of the following Annual General Meeting.
- All Officers and Committee Members shall be eligible for re-election for a further term. The Chairman for the time being of the Committee shall also be the Chairman of the Annual General Meeting.
- FINANCE
- All sums collected and all subscriptions paid shall be credited to a banking account to be opened on behalf of the Association at such bank as the Committee shall determine and all cheques drawn upon such account shall be signed by any two members of the Committee appointed for that purpose.
- The income of the Association shall be applied solely towards the objects of the Association as set forth in the Constitution and no portion thereof shall be paid or transferred directly or indirectly by way of profit to any member of the Association.
- The financial year of the Association shall end on the 31st December each year.
- The Honorary Treasurer shall keep account of all receipts and expenditure and shall present such accounts, independently examined, at the Annual General Meeting.
- DISSOLUTION OF THE ASSOCIATION
- The Association may at any time be dissolved by a resolution passed by a three quarters majority of those present and voting at a Special General Meeting called for this purpose of the Association of which 21 clear days notice shall have been sent to all members of the Association.
- In the event of dissolution, any property or funds remaining after satisfaction of all debts and liabilities shall be transferred absolutely to some charitable institution having objects similar to those of the Association.
- ALTERATIONS TO THE CONSTITUTION
- The Association in General Meeting by a resolution passed by not less than three quarters of those present may and voting may amend this constitution except that neither clause 2 nor this clause may be amended.
- Proposed amendments to this Constitution must be notified in writing to all voting members of the Association in accordance with the rules laid down for the calling and conduct of General Meetings.
